Fortenova grupa d.d. i Nomad Foods Limited potpisali su kupoprodajni ugovor za Poslovnu grupu zamrznute hrane, koja se sastoji od društava Ledo plus d.o.o., Ledo Čitluk i Frikom d.o.o. te nekoliko manjih povezanih društava, priopćili su u ponedjeljak iz Fortenove, doznaje Novac.hr.

Vrijednost transakcije iznosi 615 milijuna eura, na bazi bez gotovine i bez dugova, a njezino je zaključenje planirano za treće tromjesečje 2021. godine. Po zaključenju, Nomad Foods će postati vlasnikom Poslovne grupe zamrznute hrane, koja obuhvaća vodeći europski portfelj kultnih lokalnih brandova zamrznute hrane sa snažnom prepoznatljivošću među potrošačima u Hrvatskoj, Srbiji, Bosni i Hercegovini i nekoliko drugih zemalja jugoistočne Europe. S tradicijom duljom od pola stoljeća, Poslovna grupa zamrznute hrane najveći je proizvođač i distributer sladoleda i zamrznute hrane na tržištima na kojima posluje.

- Ovo je transformacijska transakcija za Fortenova grupu, a sva će se sredstva iskoristiti za smanjenje zaduženosti Grupe i stvaranje Fortenova grupe koja je, nakon mnogo godina, financijski jaka i sposobna punom snagom investirati u sve svoje djelatnosti - rekao je James Pearson, glavni financijski direktor Fortenova grupe.

- Naša Poslovna grupa zamrznute hrane tržišni je lider u regiji u kojoj poslujemo i drago mi je da smo u ovom procesu prodaje ostvarili svoj glavni cilj. Cilj je, uz postizanje maksimalne vrijednosti, prije svega bio zaključiti ovu transakciju sa strateškim partnerom koji će dati maksimalan doprinos daljnjem razvoju Poslovne grupe zamrznute hrane te prepoznati punu vrijednost i potencijal ove djelatnosti i njezinih ljudi - poručio je u priopćenju Fabris Peruško, glavni izvršni direktor i član Upravnog odbora Fortenova grupe.

- Zaključenjem ove transakcije ispunit ćemo ključni preduvjet za optimizaciju kapitalne strukture, što će nam omogućiti da snažno investiramo u svoje biznise i potičemo njihov budući rast. Jako sam zahvalan svim ljudima u Poslovnoj grupi zamrznute hrane i Fortenova grupi koji su proteklih šest mjeseci naporno radili kako bi ovo omogućili. Znajući da će naša zamrznuta hrana biti u vrlo dobrim rukama, veselimo se suradnji s Nomad Foodsom kao važnim budućim poslovnim partnerom u ovoj regiji - zaključio je Peruško.

Dovršenje transakcije ovisi o regulatornim odobrenjima na mjerodavnim tržištima te odobrenju dioničara Fortenova grupe. Upravni odbor Fortenova grupe, koji uključuje predstavnike najvećih dioničara, jednoglasno je podržao potpisivanje kupoprodajnog ugovora s Nomad Foods.

Inače, kompanija Nomad Foods, sa sjedištem na Britanskim Djevičanskim Otocima, najveći je europski i treći najveći globalni igrač na tržištu smrznute hrane. Ono što je zanimljivo kod te tvrtke jest što u svom portfelju uopće nema sladoled, pa bi akvizicijom Leda osim preuzimanja dominantne uloge na tržištu zemalja bivše Jugoslavije, dobila i vrlo kvalitetan proizvod koji bi mogla monetizirati kroz svoje već ustanovljene logističke lance u sedam velikih europskih država gdje drži lidersku poziciju u segmentu smrznute hrane.

Prodaja nekadašnje “Ledo Grupe” tako je postala financijski najjači posao u Hrvatskoj u posljednjih četrnaestak godina, još od državnih javnih ponuda dionica Ine i Hrvatskog telekoma 2007. godine, te znatno vrednija transakcija od 505 milijuna eura teške prodaje Adrisova duhanskog biznisa BAT-u 2015. godine.

Fortenova grupa d.d. i Nomad Foods Limited potpisali su kupoprodajni ugovor za Poslovnu grupu zamrznute hrane, koja se sastoji od društava Ledo plus d.o.o., Ledo Čitluk i Frikom d.o.o. te nekoliko manjih povezanih društava, priopćili su u ponedjeljak iz Fortenove, doznaje Novac.hr.

Vrijednost transakcije iznosi 615 milijuna eura, na bazi bez gotovine i bez dugova, a njezino je zaključenje planirano za treće tromjesečje 2021. godine. Po zaključenju, Nomad Foods će postati vlasnikom Poslovne grupe zamrznute hrane, koja obuhvaća vodeći europski portfelj kultnih lokalnih brandova zamrznute hrane sa snažnom prepoznatljivošću među potrošačima u Hrvatskoj, Srbiji, Bosni i Hercegovini i nekoliko drugih zemalja jugoistočne Europe. S tradicijom duljom od pola stoljeća, Poslovna grupa zamrznute hrane najveći je proizvođač i distributer sladoleda i zamrznute hrane na tržištima na kojima posluje.

- Ovo je transformacijska transakcija za Fortenova grupu, a sva će se sredstva iskoristiti za smanjenje zaduženosti Grupe i stvaranje Fortenova grupe koja je, nakon mnogo godina, financijski jaka i sposobna punom snagom investirati u sve svoje djelatnosti - rekao je James Pearson, glavni financijski direktor Fortenova grupe.

- Naša Poslovna grupa zamrznute hrane tržišni je lider u regiji u kojoj poslujemo i drago mi je da smo u ovom procesu prodaje ostvarili svoj glavni cilj. Cilj je, uz postizanje maksimalne vrijednosti, prije svega bio zaključiti ovu transakciju sa strateškim partnerom koji će dati maksimalan doprinos daljnjem razvoju Poslovne grupe zamrznute hrane te prepoznati punu vrijednost i potencijal ove djelatnosti i njezinih ljudi - poručio je u priopćenju Fabris Peruško, glavni izvršni direktor i član Upravnog odbora Fortenova grupe.

- Zaključenjem ove transakcije ispunit ćemo ključni preduvjet za optimizaciju kapitalne strukture, što će nam omogućiti da snažno investiramo u svoje biznise i potičemo njihov budući rast. Znajući da će naša zamrznuta hrana biti u vrlo dobrim rukama, veselimo se suradnji s Nomad Foodsom kao važnim budućim poslovnim partnerom u ovoj regiji - zaključio je Peruško.

Dovršenje transakcije ovisi o regulatornim odobrenjima na mjerodavnim tržištima te odobrenju dioničara Fortenova grupe. Upravni odbor Fortenova grupe, koji uključuje predstavnike najvećih dioničara, jednoglasno je podržao potpisivanje kupoprodajnog ugovora s Nomad Foods.

Inače, kompanija Nomad Foods, sa sjedištem na Britanskim Djevičanskim Otocima, najveći je europski i treći najveći globalni igrač na tržištu smrznute hrane. Ono što je zanimljivo kod te tvrtke jest što u svom portfelju uopće nema sladoled, pa bi akvizicijom Leda osim preuzimanja dominantne uloge na tržištu zemalja bivše Jugoslavije, dobila i vrlo kvalitetan proizvod koji bi mogla monetizirati kroz svoje već ustanovljene logističke lance u sedam velikih europskih država gdje drži lidersku poziciju u segmentu smrznute hrane.

Prodaja nekadašnje “Ledo Grupe” tako je postala financijski najjači posao u Hrvatskoj u posljednjih četrnaestak godina, još od državnih javnih ponuda dionica Ine i Hrvatskog telekoma 2007. godine, te znatno vrednija transakcija od 505 milijuna eura teške prodaje Adrisova duhanskog biznisa BAT-u 2015. godine.

Najveći europski igrač na tržištu smrznute hrane, Nomad Foods, kupio ‘Ledo‘: Fortenova grupa ga prodala za 615 milijuna eura!

Fortenova grupa d.d. i Nomad Foods Limited potpisali su kupoprodajni ugovor za Poslovnu grupu zamrznute hrane, koja se sastoji od društava Ledo plus d.o.o., Ledo Čitluk i Frikom d.o.o. te nekoliko manjih povezanih društava, priopćili su u ponedjeljak iz Fortenove, doznaje Novac.hr.

Vrijednost transakcije iznosi 615 milijuna eura, na bazi bez gotovine i bez dugova, a njezino je zaključenje planirano za treće tromjesečje 2021. godine. Po zaključenju, Nomad Foods će postati vlasnikom Poslovne grupe zamrznute hrane, koja obuhvaća vodeći europski portfelj kultnih lokalnih brandova zamrznute hrane sa snažnom prepoznatljivošću među potrošačima u Hrvatskoj, Srbiji, Bosni i Hercegovini i nekoliko drugih zemalja jugoistočne Europe.
