Prilikom gostovanja u Newsroomu N1 televizije Maja Đerek, zviždačica iz Državnih nekretnina kazala je kako je općinska državna odvjetnica u Supetru Ivona Dragičević na vrijeme bila upozorena da mora reagirati i poništiti upis hotelijera na zemljišta vatrogasnog doma i nogometnog igrališta u istom gradu. 

- Ta imovina nije bila predmet privatizacije, nego je naknadno dodana rješenjem Hrvatskog fonda za privatizaciju (HFP). To naknadno upisivanje se radilo vrlo rijetko, često zbog pritiska, a u ovom slučaju je na upravnom sudu i poništeno. Državna odvjetnica u Supetru je i upozorena da mora reagirati i poništiti upis hotela na to zemljište. Ne znam zašto to nije napravila, mislim da tu postoji i odgovornost zbog propusta - rekka je tada Đerek.

O odgovornosti Ivone Dragičević upit su poslali i novinari portala Zagrebi koji su u četvrtak dobili odgovor od splitskog ŽDO-a. 

- Netočne su i pravno neutemeljene tvrdnje da bi nadležno, tada, Općinsko državno odvjetništvo u Supetru propustilo poduzeti ijednu radnju u zaštiti imovine i interesa Republike Hrvatske u postupku pretvorbe i privatizacije Svpetrvs hotela i/ili u vezanim postupcima, kao i da bi takvim navodnim propuštanjem bila nanesena šteta državi. U odnosu na iznesene navode, točno je samo to da je presudom Upravnog suda H iz 2010. poništeno Djelomično rješenje Hrvatskog fonda za privatizaciju (HFP)  od 20. siječnja 2005. kojim je dana suglasnost da se u procijenjenu vrijednost temeljnog kapitala Svpetrvs hotela d.d. uključi i vrijednost dodatnih nekretnina.

Međutim, važno je napomenuti da je Upravni sud Republike Hrvatske poništio predmetno rješenje Fonda samo iz procesnih razloga jer u postupku nije sudjelovao Grad Supetar kao zainteresirana strana. Dakle, Upravni sud Republike Hrvatske nije odlučivao o tome mogu li se ili ne mogu nekretnine naknadno procjenjivati odnosno nije odlučivao o meritumu spora.

Ističemo da državno odvjetništvo nema status stranke u postupcima procjene i unošenja nekretnina u temeljni kapital te stoga nije niti moglo sudjelovati u postupku koji je vodio Fond, a niti pred Upravnim sudom RH - napisali su u odgovoru.

Odluka se ne može provesti

- Povećanje temeljnog kapitala provedeno je u sudskom registru Trgovačkog suda u Splitu, a nakon toga je 2006. godine Fond stečene dionice prodao na burzi te su te dionice stekle treće osobe, odgovoreno nam je iz ŽDO Split. “Upravni sud RH je 2010., odnosno nakon proteka više od pet godina, poništio rješenje Fonda kojim su nekretnine unesene u kapital društva. Kod ovakve pravne situacije niti Fond niti Republika Hrvatska više nisu imali nikakve pravne mogućnosti provesti odluku Upravnog suda Republike Hrvatske jer je zakonito provedeno povećanje temeljnog kapitala, a dionice za koje je povećan temeljni kapital stekle su treće osobe, radi se o njihovim stečenim pravima koje štiti Zakon o trgovačkim društvima.

Dakle, prema Zakonu o trgovačkim društvima ne postoji nikakva pravna mogućnost za oduzimanje dionica trećim osobama, a niti mogućnost da RH oduzme nekretnine Svpetrvs hotelima niti brisovnom tužbom, a niti u bilo kojem drugom postupku jer su nekretnine sukladno odredbama Zakona o trgovačkim društvima unesene u glavnicu društva. Slijedom navedenoga, odluku Upravnog suda RH nije bilo moguće provesti jer je ta odluka u suprotnosti s kogentnim odredbama Zakona o trgovačkim društvima koje imaju jaču pravnu snagu u zaštiti zakonito stečenih prava dioničara – trećih osoba. Zaključno, Fond odnosno RH ne trpi nikakvu štetu jer je za vrijednost nekretnina dobila dionice koje je kasnije prodala na tržištu. Također, niti Grad Supetar nije oštećen time što se odluka Upravnog suda Republike Hrvatske ne može provesti jer je pravomoćnim sudskim odlukama odbijen zahtjev Grada Supetra za priznanje prava vlasništva nad predmetnim nekretninama -  zaključili su u odgovoru ŽDO Split.

Prilikom gostovanja u Newsroomu N1 televizije Maja Đerek, zviždačica iz Državnih nekretnina kazala je kako je općinska državna odvjetnica u Supetru Ivona Dragičević na vrijeme bila upozorena da mora reagirati i poništiti upis hotelijera na zemljišta vatrogasnog doma i nogometnog igrališta u istom gradu. 

- Ta imovina nije bila predmet privatizacije, nego je naknadno dodana rješenjem Hrvatskog fonda za privatizaciju (HFP). To naknadno upisivanje se radilo vrlo rijetko, često zbog pritiska, a u ovom slučaju je na upravnom sudu i poništeno. Državna odvjetnica u Supetru je i upozorena da mora reagirati i poništiti upis hotela na to zemljište. Ne znam zašto to nije napravila, mislim da tu postoji i odgovornost zbog propusta - rekka je tada Đerek.

O odgovornosti Ivone Dragičević upit su poslali i novinari portala Zagrebi koji su u četvrtak dobili odgovor od splitskog ŽDO-a. 

- Netočne su i pravno neutemeljene tvrdnje da bi nadležno, tada, Općinsko državno odvjetništvo u Supetru propustilo poduzeti ijednu radnju u zaštiti imovine i interesa Republike Hrvatske u postupku pretvorbe i privatizacije Svpetrvs hotela i/ili u vezanim postupcima, kao i da bi takvim navodnim propuštanjem bila nanesena šteta državi. U odnosu na iznesene navode, točno je samo to da je presudom Upravnog suda H iz 2010. poništeno Djelomično rješenje Hrvatskog fonda za privatizaciju (HFP)  od 20. siječnja 2005. kojim je dana suglasnost da se u procijenjenu vrijednost temeljnog kapitala Svpetrvs hotela d.d. uključi i vrijednost dodatnih nekretnina.

Međutim, važno je napomenuti da je Upravni sud Republike Hrvatske poništio predmetno rješenje Fonda samo iz procesnih razloga jer u postupku nije sudjelovao Grad Supetar kao zainteresirana strana. Dakle, Upravni sud Republike Hrvatske nije odlučivao o tome mogu li se ili ne mogu nekretnine naknadno procjenjivati odnosno nije odlučivao o meritumu spora.

Ističemo da državno odvjetništvo nema status stranke u postupcima procjene i unošenja nekretnina u temeljni kapital te stoga nije niti moglo sudjelovati u postupku koji je vodio Fond, a niti pred Upravnim sudom RH - napisali su u odgovoru.

Odluka se ne može provesti

- Povećanje temeljnog kapitala provedeno je u sudskom registru Trgovačkog suda u Splitu, a nakon toga je 2006. godine Fond stečene dionice prodao na burzi te su te dionice stekle treće osobe, odgovoreno nam je iz ŽDO Split. “Upravni sud RH je 2010., odnosno nakon proteka više od pet godina, poništio rješenje Fonda kojim su nekretnine unesene u kapital društva. Kod ovakve pravne situacije niti Fond niti Republika Hrvatska više nisu imali nikakve pravne mogućnosti provesti odluku Upravnog suda Republike Hrvatske jer je zakonito provedeno povećanje temeljnog kapitala, a dionice za koje je povećan temeljni kapital stekle su treće osobe, radi se o njihovim stečenim pravima koje štiti Zakon o trgovačkim društvima.

Dakle, prema Zakonu o trgovačkim društvima ne postoji nikakva pravna mogućnost za oduzimanje dionica trećim osobama, a niti mogućnost da RH oduzme nekretnine Svpetrvs hotelima niti brisovnom tužbom, a niti u bilo kojem drugom postupku jer su nekretnine sukladno odredbama Zakona o trgovačkim društvima unesene u glavnicu društva. Slijedom navedenoga, odluku Upravnog suda RH nije bilo moguće provesti jer je ta odluka u suprotnosti s kogentnim odredbama Zakona o trgovačkim društvima koje imaju jaču pravnu snagu u zaštiti zakonito stečenih prava dioničara – trećih osoba. Zaključno, Fond odnosno RH ne trpi nikakvu štetu jer je za vrijednost nekretnina dobila dionice koje je kasnije prodala na tržištu. Također, niti Grad Supetar nije oštećen time što se odluka Upravnog suda Republike Hrvatske ne može provesti jer je pravomoćnim sudskim odlukama odbijen zahtjev Grada Supetra za priznanje prava vlasništva nad predmetnim nekretninama -  zaključili su u odgovoru ŽDO Split.
